OFFER AGREEMENT
For the villa rental services
1. General Regulations/Terms
1.1. This agreement constitutes a public offer (hereinafter referred to as the "Agreement") in accordance with the Civil Code of Indonesia. It establishes the terms and conditions under which PT FPM PROPERTY MANAGEMENT offers to enter into an agreement for the provision of villa rental services (hereinafter referred to as the "Services")
1.2. Acceptance of this offer, i.e., full and unconditional acceptance of the proposed terms, is carried out by signing the lease agreement or by making the payment for the rental of the villa. This payment serves as confirmation of acceptance of the terms of the Offer.
1.3. By entering into a lease agreement on the website of the management company, tenants confirm their acceptance of the terms of this offer, as well as the rental services provided.
2. Subject of the Agreement
2.1. The Management Company agrees to provide the rental of the villa (or multiple villas) to the Tenant on the terms set out in this agreement.
2.2. The parties agree to provide the tenant with the rental villa for the term specified in the respective annex to the rental agreement.
3. Obligations of the Management Company
3.1 The Management Company agrees to:
- Ensure the provision of the rented villa in accordance with the terms of the Agreement;
- Guarantee the technical serviceability of the villa during the rental period;
- Provide Tenants with information about the villa (description, photos, infrastructure description, etc.);
- Provide cleaning, technical maintenance, and keep the villa in proper condition;
- Provide tenants with assistance in solving any issues that may arise during their stay.
3.2. The Management Company is not liable for the actions of third parties, including neighbours and visitors, or for possible changes in the terms of villa rental that may arise due to reasons beyond the control of the management company.
4. Obligations of the Tenant
4.1. The Tenant agrees to:
- Use the villa solely for its intended purpose and in accordance with the house rules;
- Comply with all requirements and instructions issued by the Management Company;
- Pay the rent for the villa and any additional services (if applicable) on time;
- Ensure the safety of the villa's property and compensate for any damage in case of loss or damage to it;
- Comply with public order norms and applicable legislation on the villa's premises.
4.2. The Tenant agrees not to sublet the villa without the consent of the Management Company.
5. Rental Cost and Payment Procedure
5.1. The rental cost of the villa is determined based on the published rates of the Management Company and is agreed upon with the Tenant at the time of booking.
5.2. The Tenant agrees to pay for the rental of the villa within the period specified in the rental Agreement annex, by transferring funds to the Management Company's account.
5.3. In the event of late payment, the Management Company reserves the right to impose penalties amounting to [specify percentage] of the outstanding amount.
6. Liability of the Parties
6.1. The Management Company is responsible for ensuring the villa is provided in proper condition, fulfilling the terms of this agreement, and providing services in accordance with applicable legislation.
6.2. The Tenant is responsible for complying with the terms of this Agreement, for the safety of the property, and for timely payment of the rental fee.
6.3. In the event of a breach of the terms of the Agreement, either party reserves the right to demand termination of the Agreement and compensation for damages.
7. Duration of the Agreement
7.1. This Agreement enters into force upon its publication on the website of the Management Company or in another publicly available source and remains valid until it is revoked or amended.
7.2. The Agreement will remain valid until it is accepted by the Tenant or until it is revoked by the Management Company.
8. Other Terms and Conditions of the Agreement
8.1. Please note that any amendments or additions to this agreement must be made in writing and signed by both parties to be valid.
8.2. Disputes arising from this agreement shall be resolved in court in accordance with the legislation of the Russian Federation.

10. Rules and Regulations of the residence at the villa
10.1. General Requirements for Stay:
- The Tenant agrees to maintain order and cleanliness at the villa and its surrounding area.
- he villa is intended for residential use only, and its use for commercial or other purposes not specified in the Agreement is prohibited.
- The Tenant agrees not to hold noisy events, parties, or other activities that may disturb neighbours or compromise safety.
10.2. The villa property's usage:
- The Tenant agrees to use the villa's furniture, appliances, and inventory for their intended purposes and to handle them with care.
- Moving or modifying furniture, appliances, or other interior elements without the Management Company's consent is strictly prohibited.
- In the event of damage to the villa property, the Tenant is obliged to compensate the Management Company for the cost of repairs as determined by the Management Company.
- On the day of check-in, the tenant will be required to pay a deposit of $100 as a guarantee of the safety of the property.
10.3. Safety and Fire Prevention:
- The Tenant agrees to comply with fire safety regulations, including ensuring that electrical appliances are not left unattended and that exit routes from the building are not blocked.
- Smoking on the premises of the villa is only permitted in designated areas (if any), excluding the indoor areas of the villa
10.4. Noise and Public Order:
- The Tenant agrees to maintain quiet during nighttime hours (from 10:00 PM to 8:00 AM).
- The use of sound amplifiers, musical instruments and other devices that create loud noise is only permitted with the Management Company's consent.
10.5. Preservation and Responsibility for Property:
- The Tenant is responsible for the preservation of the villa’s property and agrees to promptly inform the Management Company of any damages or malfunctions
- In the event of loss or damage to the villa's property, the Tenant agrees to compensate the Management Company for any such damage as determined by the Management Company.
10.6. Use of the Pool and Other Villa Facilities:
- The pool, sauna and other facilities at the villa must be used in accordance with the instructions provided by the Management Company.
- It is the responsibility of Tenant to ensure that these property items are used in accordance with safety regulations and the established rules.
- Please note that children under the age of 15 are permitted to use the pool only when accompanied by an adult.
10.7. Prohibited Actions on the Villa's Premises:
- Please note that construction, repair and other work of this kind is prohibited without prior consent from the Management Company.
- Pets are not permitted at the villa unless there is an additional written agreement with the Management Company.
- It is strictly prohibited to leave trash or waste on the premises, or to use the villa as storage for personal items or items not related to the stay.
10.8. Waste Disposal:
- The Tenant agrees to dispose of waste according to the established schedule and not leave it on the villa’s premises.
- Waste should be sorted by category (organic waste, plastic, glass, paper, etc.) and disposed of according to the instructions posted at the villa.
10.9. Third Party Visits:
- While Tenant guests are permitted, please note that all guests must vacate the premises by 10:00 PM strictly.
- All guests are required to comply with the villa's rules of residence and adhere to the safety and security rules set by the Management Company.
- The parties agree that the Management Company reserves the right to inspect the villa's premises at any time without prior notice if there is suspicion of a violation of the rules of residence or security.
10.10. Maintenance and Cleaning:
- The Tenant agrees to ensure that there is no obstruction of technical maintenance and cleaning of the villa, as organised by the Management Company. Any scheduled maintenance or cleaning work is to be conducted during mutually agreed times.
- The cleaning and changing of bed linen, towels and other textile items is carried out according to the schedule established by the Management Company.
10.11. Prohibited Substances and Actions
- The possession and use of narcotic substances, large quantities of alcohol (unless otherwise agreed), and other dangerous or prohibited substances is prohibited on the villa's premises
- The use of chemicals or substances that may damage the villa's property (e.g., aggressive cleaning agents, paints, etc.) is prohibited.
10.12. Other Tenant Obligations:
- The Tenant agrees to comply with Indonesia's legislation regarding environmental protection, ecology, and safety
- Should neighbours or other Tenants voice complaints or concerns regarding breaches of the residence rules, the Management Company reserves the right to terminate the rental Agreement without offering a refund
11. Check-in and Check-out Times:
11.1. Check-in:
- Please note that check-in to the rented villa is possible from 3:00 PM (local time) on the day the rental period begins, as specified in the Agreement.
- Should the Tenant intend to arrive later, the Management Company must be informed at least 24 hours in advance to avoid any access issues.
11.2. Check-out:
- Please note that check-out from the villa must occur no later than 12:00 PM (local time) on the last day of the rental period.
- f the tenant fails to vacate the villa on time, the management company has the right to charge an additional fee for each overdue day, at a rate of 100% per day
11.3. Rental Extension:
- Should the Tenant wish to extend their stay, it is essential the Management Company is informed in advance, and that the Agreement is amended as appropriate. Extension is only possible if there are available dates for the villa rental
11.4. Rental Extension:
In the event that the Tenant fails to arrive on the agreed check-in day without providing prior notification, and does not contact the Management Company, the Agreement will be considered terminated. This will result in the Tenant losing the right to rent the villa. In such cases, the Management Company reserves the right to retain the deposit, provided it was paid.
12. Rental Payment
12.1. Rental Payment Procedure:
- Payment for the villa rental is due in full before check-in, as outlined on the issued invoice. Bookings made within 30 days of arrival can only be held for 24 hours before payment is due, unless certain conditions have been agreed.
- To confirm the Tenant's booking, the Management Company may request a prepayment of 100%, which must be paid by the dates specified on the invoice.
12.2. Methods of Payment:
- Payment can be made by bank transfer or online.
- Once full payment has been received, the Tenant will be granted access to the villa at the specified time (no earlier than 3:00 PM on the check-in date)
12.3. Failure to Pay:
- In the event of late payment, the Management Company reserves the right to refuse check-in until full payment is received
- In the event that the Tenant fails to make the payment prior to the commencement of the tenancy, the rental Agreement will be considered unfinished and the Management Company reserves the right to cancel the villa reservation.
13. Final Terms
13.1. Should there be a violation of the residence rules at the villa, the Management Company reserves the right to demand immediate rectification of the situation or to terminate the rental Agreement without offering a refund.
13.2. Any changes to the rules of residence must be agreed upon by the Management Company and the Tenant, and formalised in writing.
14. Cancellation Policy. Refund Policy for Guests of the Property Management Company
Refund Conditions 14.1. Cancellation of Booking:
- Bookings can be cancelled 30-60 days in advance depending on the season and villa occupied. Terms and conditions must be agreed prior to booking. The 10% discount is non-refundable. It can be applied to both OTA and direct bookings. This rate is non-refundable.
- All bookings for long stays (more than 21 days) at the special rate are non- refundable. Cancellations received more than 30 days prior to arrival will be refunded in the form of a 100% voucher. The voucher is valid for 1 year.
- Under other conditions, the company has the right to claim forfeit on booking cancellation.
14.2. Inability to Check-in (Force Majeure Circumstances):
If the guest is unable to check in due to reasons beyond the control of the property management company (e.g., natural disasters, epidemics, border closures, etc.), the company offers the following options:
- The option to reschedule the booking to the next available dates.
14.3. Early Departure:
- If the guest decides to leave the villa earlier than stipulated in the rental agreement, no refund will be made for the unused days.
14.4.Refund Process. Decision on Refund:
- The property management company will make a decision regarding the refund within 3 business days from the receipt of the guest’s refund request.
- The refund will be processed within 30 business days after the decision is made, depending on the refund amount, the payment method, and the partner bank’s procedures.
- Refunds will be issued to the same bank account or payment system from which the payment was made. If a refund cannot be processed to the original account (e.g., due to account closure, technical issues, etc.), the guest must provide new account details for the refund.
14.5 Special Refund Conditions
- No refund will be made if the guest violates the house rules (e.g., causing damage to the property, disturbing the peace, etc.) or refuses to stay without prior notice
- In case of property damage, the guest is required to compensate for the full amount of the damage in accordance with the rental agreement.
14.6 Limitations
- The management company reserves the right to change the cancellation terms based on the situation and seasonal factors, and any such changes will be communicated to tenants in advance
15. Acceptance of the Terms and Conditions of the Agreement
15.1. Automatic Acceptance upon Booking:
- By proceeding with the reservation of the villa, the Tenants are confirming that they have read and fully agree to the terms of this rental Agreement.
- By making a booking, the Tenant automatically confirms acceptance of all the conditions of the Agreement, including the rules of residence, payment terms, responsibilities of the parties, and other provisions outlined in the agreement.
15.2. Confirmation of Acceptance:
- Confirmation of the tenant's acceptance of the terms of the rental agreement is both the booking process and the payment for the villa rental.
- In the event of any disputes or questions related to the rental terms, the Management Company may refer to this Agreement as the mandatory document to which the Tenant agreed when making the booking.
